THE DALILAH STANDARD

Seat advisory committees

Appendix A11 permits the Council to create committees. The Council must authorize each committee and its appointments. This website provides invitation and recordkeeping tools; it does not itself establish a committee.

A continuing opportunity to contribute

After a contested seat election is finalized, qualified candidates who were not selected may be invited to advise that seat. An invitation is optional and does not mean the candidate was unqualified. All qualified applicants remain on the same election ballot under the applicable adopted rules.

Advisory scope

Advisors serve without compensation and offer subject-matter expertise, recommendations and standards feedback to the seated member and Council. They do not occupy a voting seat, vote in Council elections, count toward quorum, approve applicants, or gain Council admin access. The Council retains its reserved decisions. Advisory service does not grant company recognition or create a corporate director, officer or fiduciary board position.

Consent and safeguards

Invitations require a documented Council resolution or minutes. Invitees review these terms and accept or decline. Acceptance is retained for final review; a separate authorized action confirms the appointment. Existing documented qualifications and identity results are reviewed rather than unnecessarily collected again.

Advisors must protect confidential information, disclose relevant conflicts, recuse from conflicted matters and comply with the Charter’s ethics and competition safeguards. Only materials authorized for their assigned work may be shared. Scope, availability and duration should be addressed in the Council authorization. Public bios or photos require separate consent.
